MJ Fruits & Vegetables ltd.

These Terms and Conditions govern all transactions between MJ Fruits & Vegetables ltd. (“we”, “us”, or “our”) and the business client (“you”, “your”, or “client”) for the supply of fresh fruits and vegetables. By placing an order, you agree to these terms.

1. Orders & Acceptance

  • All orders must be placed in writing via email, WhatsApp message 07480009292 or through an authorized sales representative.
  • Orders are subject to availability and confirmation by MJ Fruits & Vegetables ltd.
  • Once confirmed, orders are binding and cancellations may incur charges depending on the stage of processing.

2. Pricing & Payment

  • Prices are quoted exclusive of VAT unless otherwise stated.
  • Payment terms are strictly [e.g., 7/8 days] from the date of invoice, unless otherwise agreed.
  • Late payments may incur interest at [e.g., 2% per month] and possible suspension of future deliveries.
  • Credit terms may be offered subject to approval.

3. Delivery

  • Delivery is available within a 100-mile radius of London, extendable up to 150 miles for bulk orders.
  • We aim to deliver on time; however, delays due to unforeseen circumstances (traffic, weather, supply chain issues) are not grounds for claim or cancellation.
  • Risk passes to the client upon delivery.

4. Quality Assurance & Returns

  • We ensure all products are inspected and meet quality standards before dispatch.
  • Any issues must be reported within 12 hours of delivery with photographic evidence.
  • Accepted claims may result in a replacement, credit note, or refund at our discretion.

5. Title of Goods

  • Goods remain the property of FreshHarvest Supplies Ltd. until full payment is received.

6. Client Responsibilities

  • Ensure someone is available to receive and inspect deliveries.
  • Store all produce appropriately after delivery to maintain quality.
  • Notify us in advance of any changes to delivery location or access conditions.

7. Liability

  • Our liability is limited to the value of the goods supplied.
  • We are not liable for indirect or consequential losses (e.g., loss of business, reputational damage).

8. Force Majeure

  • We are not responsible for delays or failures caused by events beyond our control, including but not limited to natural disasters, strikes, or transport disruptions.

9. Governing Law

  • These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
  • Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Amendments

MJ Fruits & Vegetables ltd. reserves the right to amend these terms at any time. Clients will be notified in advance of any material changes.
